Terms of Service

JNESTR is a hosting and communications platform that allows users to:

• Post and browse sublet listings
• Create roommate profiles
• Communicate with other users
• Share housing-related information and opportunities
• Access additional features and tools we may add over time

JNESTR does not own, lease, inspect, manage, broker, guarantee, endorse, or control any property, listing, user, roommate, landlord, tenant, subletter, or housing opportunity listed on the Platform.

We are not a real estate broker, agent, landlord, property manager, or housing provider.

You are solely responsible for:

• Any information you post or share
• Verifying the accuracy of listings or profiles
• Conducting your own due diligence before entering into any agreement or meeting anyone
• Evaluating the safety, suitability, legality, quality, or condition of any housing arrangement or individual
• Any communications, transactions, agreements, disputes, or interactions with other users

You understand that use of the Platform is entirely at your own risk.

You acknowledge that you voluntarily assume all risks associated with using the Platform, including interactions with other users and reliance on any content, listing, profile, message, or representation made through the Platform.

No fiduciary, agency, partnership, employment, brokerage, or similar relationship is created between you and JNESTR by use of the Platform.

By accessing, browsing, or continuing to use the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, including any updates or modifications.

By creating an account, accessing, browsing, clicking to accept, or otherwise using the Platform, you consent to receive communications electronically and agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.

You further agree that your electronic acceptance of these Terms constitutes a legally binding electronic signature and agreement.

JNESTR is not obligated to verify:

• User identities
• Background information
• Property ownership
• Listing accuracy
• Availability
• Safety
• Pricing
• Photos
• User statements or representations

If we choose to label a user, profile, listing, or account as “verified” or use similar terminology, such verification is limited in scope and based only on specific internal criteria determined solely by JNESTR.

A verification label does not mean that:

• Information is accurate
• A user is trustworthy
• A listing is legitimate
• A property is safe
• A roommate is suitable
• A person has been background checked
• A listing complies with laws
• Fraud or misconduct is impossible

Users should never rely solely on a verification badge or label when making decisions.

Verification does not constitute endorsement, recommendation, certification, screening, or approval of any user, listing, property, roommate, or housing arrangement by JNESTR.

JNESTR is not liable or responsible for:

• Any listing, profile, message, post, or communication
• Fraud, scams, misrepresentation, or deception
• Unsafe conditions
• Illegal conduct
• Harassment
• Theft
• Assault
• Property damage
• Financial loss
• Emotional distress
• Injury or death
• Roommate disputes
• Lease disputes
• Housing discrimination by users
• Inaccurate or misleading content
• Failed housing arrangements
• Any interaction between users on or off the Platform

This applies even if:

• You found the person, listing, or opportunity through JNESTR
• You communicated using the Platform
• The profile or listing was labeled “verified”
• We reviewed, moderated, flagged, featured, or removed content
• We were previously notified about a user or listing

You assume all risks associated with interacting with other users and participating in any housing arrangement.

JNESTR has no obligation to mediate, resolve, monitor, investigate, or become involved in disputes between users, landlords, tenants, subletters, roommates, property owners, or third parties.

Users are solely responsible for all content they upload, post, transmit, or share through the Platform.

For purposes of these Terms, “content” includes listings, profiles, messages, images, videos, descriptions, usernames, communications, comments, and any other material shared through the Platform.

JNESTR does not endorse, guarantee, monitor, or control user-generated content or communications.

We reserve the right, but not the obligation, to:

• Review content
• Remove listings or profiles
• Suspend or terminate accounts
• Investigate complaints
• Moderate communications
• Remove or restrict access to content at any time, with or without notice, and for any reason or no reason

Failure to remove or act on content does not create liability or responsibility for JNESTR.

Removal or restriction of content does not imply that the content was unlawful, inaccurate, or in violation of these Terms, nor does it imply agreement with any complaint, report, or allegation regarding such content.

JNESTR makes no guarantees regarding:

• Housing availability
• Roommate compatibility
• Property condition
• Legality of sublets
• Lease enforceability
• Rental terms
• User behavior
• Financial reliability
• Safety or security
• Accuracy of listings or profiles

All housing decisions and agreements are made solely between users.

Users acknowledge that some buildings, landlords, leases, homeowners associations, municipalities, universities, or other governing entities may prohibit, restrict, regulate, or require approval for sublets, roommate arrangements, short-term rentals, or occupancy changes.

JNESTR does not verify and makes no representations or guarantees regarding:

• Whether a sublet is permitted
• Whether a listing complies with a lease or building rules
• Whether landlord approval has been obtained
• Whether a housing arrangement is lawful or enforceable
• Whether a listing complies with local housing regulations, zoning laws, rent-control laws, or occupancy requirements

Users are solely responsible for conducting their own research and due diligence before entering into any agreement, signing any lease, paying any money, moving into any property, or participating in any housing arrangement.

JNESTR shall not be liable or responsible in any way whatsoever for any losses, damages, eviction, penalties, fines, legal disputes, lease violations, removal from a property, financial harm, or other consequences arising from or related to:

• An unauthorized or illegal sublet
• A violation of a lease or building policy
• False or misleading information provided by users
• A landlord, building, or authority refusing or terminating occupancy
• Any housing arrangement found through the Platform

This limitation of liability applies even if the listing, profile, or user was labeled as “verified” or communicated through the Platform.

To the fullest extent permitted by law, you release and discharge JNESTR and its owners, officers, employees, contractors, affiliates, and agents from any and all claims, liabilities, damages, losses, demands, actions, or expenses arising out of or related to:

• Your use of the Platform
• Interactions with other users
• Housing arrangements
• Sublets
• Roommate situations
• Communications on or off the Platform
• Reliance on listings, profiles, badges, or representations

To the fullest extent permitted by law, JNESTR shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, data, housing opportunities, reputation, or personal injury.

JNESTR’s total liability for any claim relating to the Platform shall not exceed the greater of:

• One hundred U.S. dollars ($100), or
• The amount you paid to JNESTR in the preceding twelve (12) months

Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.

You agree to defend, indemnify, and hold harmless JNESTR and its affiliates, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including attorneys’ fees) arising from:

• Your use of the Platform
• Your content
• Your interactions with other users
• Your violation of these Terms
• Your violation of any law or third-party rights

This includes claims, disputes, investigations, penalties, or legal actions brought by landlords, tenants, roommates, subletters, homeowners associations, government authorities, regulatory agencies, or other third parties.

You agree not to:

• Post false, misleading, or fraudulent information
• Impersonate another person
• Harass or threaten users
• Violate housing or anti-discrimination laws
• Upload unlawful or harmful content
• Use the Platform for illegal purposes
• Attempt to interfere with Platform operations or security
• Post obscene, vulgar, sexually explicit, discriminatory, hateful, or otherwise inappropriate content
• Upload inappropriate, offensive, suggestive, or explicit images or descriptions
• Use the Platform in a manner that JNESTR determines, in its sole discretion, to be harmful, offensive, abusive, deceptive, or unsuitable

We reserve the right to suspend or terminate accounts at our discretion.

Users may not post, upload, transmit, display, or share any content that JNESTR, in its sole and absolute discretion, determines to be inappropriate, offensive, harmful, abusive, misleading, unlawful, or otherwise unsuitable for the Platform.

This includes but is not limited to:

• Profanity, obscene, sexually explicit, or vulgar language
• Offensive, discriminatory, hateful, or harassing content
• Inappropriate, sexual, suggestive, or explicit images or descriptions
• Misleading, deceptive, manipulative, or fraudulent content
• Content that violates applicable laws, regulations, or third-party rights

JNESTR reserves the right, but not the obligation, to review, remove, restrict, modify, flag, demonetize, deprioritize, suspend, or terminate any content, listing, profile, communication, or account at any time, with or without notice, and for any reason or no reason.

JNESTR retains sole and absolute discretion in determining whether content violates these Terms or is otherwise unsuitable for the Platform.

JNESTR is not required to enforce these Terms uniformly or consistently, and may take action against certain content, users, or conduct while not taking action against similar content, users, or conduct, whether intentionally or unintentionally. Such actions or inactions shall not create liability, obligations, waivers, precedents, or rights against JNESTR.

JNESTR is under no obligation to monitor, review, screen, or remove content, and failure to remove or restrict content does not constitute approval, endorsement, verification, or acceptance of such content by JNESTR.

JNESTR may rely on or provide access to third-party services, software, tools, integrations, websites, payment processors, maps, communication providers, analytics providers, authentication providers, cloud hosting providers, or other third-party technologies or services.

JNESTR does not control and is not responsible or liable for:

• Third-party services or platforms
• Third-party acts or omissions
• Service interruptions or outages
• Data loss
• Security incidents
• Payment processing errors
• Third-party content, policies, or practices

Your use of third-party services may be subject to separate terms, conditions, and privacy policies imposed by those third parties.

JNESTR makes no warranties or guarantees regarding any third-party service and disclaims all liability arising from or related to such services.

Your use of the Platform is also subject to our Privacy Policy.

By using the Platform, you acknowledge that internet communications may not always be secure and that we cannot guarantee complete security of data or communications.

All Platform content, branding, logos, software, design, and materials owned by JNESTR are protected by intellectual property laws and may not be copied or used without permission.

Users retain ownership of content they upload but grant JNESTR a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and distribute such content for operation and promotion of the Platform.

We may suspend, restrict, or terminate your access to the Platform at any time, with or without notice, for any reason or no reason.

JNESTR reserves all rights not expressly granted in these Terms, including the right, in its sole discretion, to refuse service, restrict access, remove content, reclaim usernames, investigate conduct, modify the Platform, or take any action deemed necessary to protect the Platform, users, business operations, or legal interests of JNESTR.

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

JNESTR DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY
• RELIABILITY
• SAFETY
• AVAILABILITY

We do not guarantee that the Platform will be uninterrupted, secure, or error-free.

JNESTR does not guarantee that the Platform or any feature, function, listing, communication system, or service will be available at all times or operate without interruption, delay, bugs, errors, vulnerabilities, or technical issues.

The Platform may contain software bugs, security issues, inaccuracies, or other errors.

We reserve the right to modify, suspend, discontinue, restrict, remove, or change any aspect of the Platform, features, functionality, or services at any time, with or without notice, and without liability.

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to conflict of law principles.

Any disputes arising from these Terms or use of the Platform shall be resolved exclusively in the courts located in Clark County, Nevada.

To the fullest extent permitted by law, any dispute, claim, controversy, or legal action arising out of or relating to these Terms, the Platform, or use of the Platform shall be resolved exclusively through final and binding arbitration rather than in court.

The arbitration shall be conducted in Las Vegas, Nevada, unless otherwise required by applicable law, and shall be governed by the Federal Arbitration Act and applicable arbitration rules selected by JNESTR.

You agree that arbitration shall be conducted solely on an individual basis and not as part of any class action, collective action, consolidated action, representative action, or private attorney general action.

You expressly waive any right to:

• Participate in a class action lawsuit or class-wide arbitration
• Act as a class representative
• Bring claims on behalf of other users
• Participate in any collective or representative proceeding

The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, enforceability, applicability, or formation of this arbitration provision, including claims that all or part of this provision is void or unenforceable.

Notwithstanding the foregoing, either party may bring an individual claim in small claims court if the claim qualifies.

You also waive any right to a jury trial to the fullest extent permitted by law.

If any portion of this arbitration provision is found unenforceable, the remaining portions shall remain in full force and effect.

We may update, modify, revise, or discontinue these Terms or any part of the Platform at any time, with or without notice.

Continued access to or use of the Platform after updated Terms become effective constitutes your full acceptance of the revised Terms.

If you do not agree to the revised Terms, you must discontinue use of the Platform immediately.
